The International Institute for Conservation of Historic and Artistic Works Extraordinary General Meeting 2020
Notice is hereby given that an Extraordinary General Meeting of the International Institute for Conservation of Historic and Artistic Works will be held online on Monday 14 December 2020 at 6.00 pm.
You will be asked to consider and vote on the Special Resolution below.
To consider and if thought fit, to pass a Special Resolution THAT with effect from the conclusion of the Meeting, the Articles of Association produced to the Meeting by the Chair of the Council be adopted as the Articles of Association of the Company in substitution for, and to the exclusion of, the existing Articles of Association.

Explanatory Note to the resolution:
A copy of the articles proposed to be adopted, marked to show changes against the previous version, is available to view on the IIC website here. In summary, the changes seek to amend Articles 40 to 60 such that General Meetings (both EGMs and AGMs) can be held on a hybrid basis moving forwards. The amendments also intend to provide the IIC with greater flexibility regarding its general meetings if, for example, physical meetings continue to be restricted. Any other amendments are of a minor, technical or clarifying nature.
Honorary Fellows, Fellows, Individual and Early Career Members of IIC in good standing (that is, having paid their IIC membership fee for 2020- 2021) are able to vote at the EGM.
There are three ways you can vote:
- in person at the online meeting - eligible members will receive a link to sign up by email (please contact firstname.lastname@example.org if you are an Early Career, Individual, Fellow or Honorary Fellow member for 2020 - 21 but have not received an email).
- logging into your IIC member account online and using the online ballot form, which is live, and can be used for voting in advance, until 6pm (London time -GMT) Thursday 10 December 2020.
- using the pdf form at the foot of this page, which you can then complete and send to the IIC office by email.
If you intend to vote at the EGM on 14 December 2020 you should not, of course, make use of the online ballot or proxy voting form in advance and if you use the online ballot please do not send or email in a scanned ballot form.
Early Career Members, Individual Members, Fellows and Honorary Fellows may appoint a proxy to exercise all or any of their rights to attend and to speak and vote at the EGM. The proxy form can be downloaded here.
For paper votes and proxy votes the form can be scanned by the voter and sent by email to email@example.com. Please remember that votes and proxy votes must reach IIC 48 working hours before the meeting, that is, by 6.00 pm (London time - GMT) on Thursday 10 December 2020 at the latest; votes and proxies received after then will not be counted.
Completion of a proxy card or voting online will not prevent you from attending and voting online at the EGM. If you appoint a proxy or vote online, and then decide to attend the EGM and vote there, then the vote at the EGM will override the proxy vote or online vote.
